1. Overview & acceptance
These Terms of Use (the “Terms”) form a binding agreement between you and the provider or operator of the uclock / TimeCore platform (“uclock”, “we”, “our”, or “us”). They apply to your access to and use of our websites, web applications, mobile or desktop applications, application programming interfaces (APIs), and any related documentation, tools, or services (collectively, the “Services”).
By creating an account, setting up a tenant or workspace, installing any self-hosted components, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity and its affiliates to these Terms. In that case, references to “you” and “your” mean that entity and its authorized users.
2. Key definitions
In these Terms, the following concepts are used frequently:
- Account – the main profile used to access the Services, typically created with a unique email address and password or single sign-on.
- Tenant – a logical organization space within uclock that usually represents a company, business unit, or client.
- Workspace – an environment within a tenant where time entries, projects, tasks, rates, approvals, and reports are managed and shared with specific users.
- Authorized User – a person who has been invited or permitted to access a tenant or workspace under your Account.
- Subscription Plan – a set of features, usage limits, and pricing for the Services, such as free, trial, or paid tiers.
- Customer Data – any data, files, content, or information that you or your Authorized Users submit to the Services, including time entries, projects, client names, invoices, and user details.
- Self-hosted components – any downloadable or deployable elements of uclock that you run on your own infrastructure, where applicable.
3. Eligibility & business use
The Services are designed primarily for professional and business use (for example by agencies, studios, service providers, and internal teams). By using the Services, you confirm that:
- you are at least 18 years old or the age of majority in your jurisdiction, and
- you are using the Services in connection with a trade, profession, or business, or under the direction of an organization which has authorized you to do so.
You are responsible for ensuring that your use of the Services complies with all laws that apply to you.
4. Accounts, tenants & workspaces
4.1 Account registration
To use most features of the Services, you must create an Account and provide accurate and complete information. You must keep your login credentials confidential.
4.2 Tenants and workspaces
The Services may allow you to create one or more tenants and workspaces. The individual or entity that controls a tenant generally decides who can access it and how Customer Data is retained.
4.3 Admins and roles
Tenants and workspaces usually have one or more administrators who can adjust settings, manage users, and connect integrations. You must ensure that only appropriately authorized individuals receive admin-level access.
5. Plans, fees & renewals
5.1 Free use and trials
We may offer a free tier or free trial with limited features or usage. We may modify, limit, or discontinue free access at any time, subject to reasonable notice where practical.
5.2 Paid subscriptions
If you subscribe to a paid plan, you agree to pay all applicable fees described on our pricing pages or in a separate order form.
5.3 Automatic renewal
Unless you cancel your subscription before the end of the current term, your plan may renew automatically for a new term of the same length, at the then-current pricing.
5.4 Taxes
Subscription fees may be subject to VAT, sales tax, or other charges as required by law.
6. Acceptable use
You and your Authorized Users must use the Services in a lawful and reasonable manner.
- do not use the Services for illegal, abusive, or fraudulent activity;
- do not attempt to gain unauthorized access to the Services or other users’ data;
- do not upload malware or content that infringes third-party rights;
- do not resell or sublicense the Services except as expressly permitted in writing.
7. Data, privacy & security
7.1 Customer Data
You retain all rights to Customer Data that you or your Authorized Users submit to the Services. You grant us a limited, non-exclusive license to process Customer Data solely to operate, maintain, secure, and improve the Services.
7.2 Privacy
Our handling of personal data is described in the uclock Privacy Policy, which forms part of these Terms.
7.3 Security
We implement technical and organizational measures designed to protect Customer Data, but no system can be guaranteed completely secure.
8. Intellectual property
The Services, including all associated software, code, interfaces, designs, trademarks, and documentation, are owned by us or our licensors. Except for the limited rights expressly granted in these Terms, no license or ownership rights are transferred to you.
9. Third-party services & links
The Services may integrate with or contain links to third-party products or services. Your use of those third-party services is subject to their own terms and policies.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities.
12. Indemnity
You agree to indemnify and hold us harmless from claims, losses, damages, liabilities, and reasonable costs arising out of your misuse of the Services or violation of these Terms.
13. Term & termination
These Terms apply from the moment you first access the Services and continue until your Account and all related subscriptions are closed or terminated.
14. Changes to these Terms
We may update these Terms from time to time. If you continue using the Services after updated Terms take effect, you are deemed to have accepted the changes.
15. Governing law & disputes
Unless a different jurisdiction is specified in a separate written agreement, these Terms are governed by the laws of Pakistan. Courts located in or with jurisdiction over Lahore, Pakistan, will have exclusive jurisdiction over disputes, subject to any mandatory rights you may have under applicable law.
